Extension of the Board of Management of Saarstahl AG

In a meeting on 17.12.2003, the Supervisory Board of Saarstahl AG appointed Dr. Michael Hanisch (53) as a Board Member and Chairman of the Board of Saarstahl AG as from 01.06.2004.

Dr. Michael Hanisch is a Member of the Board of SMS AG in Düsseldorf as well as the Chairman of SMS Demag AG in Hilchenbach and he is responsible for the business areas of metallurgy and rolling mill technology.

Design Prize of the Saarland 2003

The agency 7°Ost, Saarbrücken, received a commendation from the jury of the Design Prize of the Saarland 2003.

The award was presented by Government Minister Georgi on 08.12.2003 in the Academy of Fine Arts in Saarbrücken. Altogether, 14 awards were presented and two commendations made.

In their laudation, the jury emphasised that, with its new image, Saarstahl AG has created a convincing image of its products and services as well as visualising the company's competence. The thoroughly thought out design presents Saarstahl AG as a trademark which conveys professionalism, reliability, quality and appealingness.

"The words and logo lead us into a new world of colour: orange symbolises the colour of steel during its production and graphite grey stands for the finished product of steel as well as for technology. The design with words and logo is consistently carried through and further developed in the layout of clearly designed communication media thus guaranteeing a high degree of brand recognition" Professor Detzler of the Academy of the Fine Arts emphasised.

This prize also rewards Saarstahl AG's decision to assign the task of developing the new image to 7°Ost, an agency in the Saarland.

The agency 7°Ost also received another prize for the design of their own internet website.

Saarstahl invests 27 million euros in its location in Völklingen

At a meeting on 25.09.2003, the Supervisory Board of Saarstahl AG took the decision to make an investment of 27 million euros in its rolling mill operations in Völklingen. It is planned to build a modern walking beam furnace and thus to replace two old pusher type furnaces which are meanwhile 41 years old.

This new construction will mean even more improvements in meeting customer requirements regarding the quality of Saarstahl products in future. In particular, this applies to the increasing demands of the automotive branch. Here, Saarstahl is supplying an increasing number of preliminary products for engines and gear components for the very latest diesel technology.

Furthermore, along with increased competitiveness, there will also be a rise in productivity at the rolling mill in Völklingen. Additional benefits of the modern walking beam furnace will be the reduction in the fuel costs and fulfilment of more stringent environmental regulations.

With the conclusion of this investment, all the mill trains at Saarstahl AGs locations in Völklingen, Burbach and Neunkirchen will be equipped with the most modern walking beam furnaces. We are thus following the consistent strategy of purposefully strengthening our production areas in order to ensure the future of the company, said Dr. Klaus Harste, member of the board of management.

Annual General Meeting on 01.07.2003:

Positive Operating Result in 2002

Fiscal year 2002

Saarstahl AGs economic development was positive in the year 2002, just as in the years before. A feature of the fiscal year was the good order situation and, consequently, good production but, on the other hand, there was lower revenue and increased costs.

Production of crude steel fell by 0.9% to 2.470 mill. tons compared with 2001 (2,493 mill. tons). Shipment of steel products increased by 1.8 % from 2,422 mill. tons to 2,465 mill. tons. Revenue from sales fell by 1.1 % from 947 mill. EUR in 2001 to 937 mill. EUR in 2002.

The result of Saarstahl AGs operational business activities went down from 78.7 mill. EUR in 2001 to 40.2 mill. EUR in 2002 according to the Chairman of the Board of Saarstahl AG, Mr Hans-Günter Herfurth, speaking at the Annual General Meeting on 01.07.2003.

Saarstahl AGs workforce remained almost constant at 5,146 employees in the year 2002 (year 2001: 5,128 employees). Of these, 3,786 were workers, (2001: 3,787), 1,114 were salaried employees (2001: 1,102) and 246 were trainees and apprentices (2001: 239).

Fiscal year 2003

The development in the fiscal year 2003 was also positive until May, compared with the average in the previous year. Utilization of production capacity was on a high level.

At 232,000 tons per month, an increase in production of 14.8 % was achieved in the LD-steelmaking plant compared with the previous year. For finished rolled products, at 196,300 tons per month, the increase was 3.9 %.

At 194,800 tons per month, shipping of finished rolled products (incl. crude continuous cast steel for sale) reached the level of the previous years average (195,700 tons per month). As far as the overall economic situation is concerned, the number of incoming orders could be described as subdued. At 196,600 tons per month, the average number of incoming orders until May reached the average of the previous year.

Outlook

The Board of Saarstahl AG anticipates that the objectives of the business plan for the current year will be reached in 2003. After that, it is expected that production will be comparable with the previous years and that revenue will improve so that, in total, a positive result is expected for the year 2003.

The supervisory boards of Dillinger Hütte and Saarstahl AG approve ROGESA's environmental investment in the building of a gas power station

With the approval of the relining which has to be carried out at regular intervals, and the subsequent expansion of the hearth diameter in blast furnace number 4, Rogesa Roheisengesellschaft Saar, a mutual subsidiary of Dillinger Hütte and Saarstahl AG (each 50 %), was simultaneously issued with the requirement by the Ministry for the Environment that any excess blast furnace gas which occurs during the blast furnace process must be used in total for energy purposes.

Within the Dillinger Hütte/ Rogesa energy cooperation, the use of blast furnace gas in the production facilities has already been optimized and exhausted at the Dillingen location and therefore the only technically and economically suitable measure for utilizing the blast furnace gas for energy purposes and for modernizing the electricity production at the Dillingen location is to convert it into electricity. The electricity generating system required for this, is to be integrated into the existing system configuration with regard to both the construction and the function.

After intense discussion in today's meetings, the supervisory boards of Dillinger Hütte and Saarstahl agreed that the use of the blast furnace gas resources for energy purposes is to be realised by converting into electricity in a gas power station. Rogesa's planned gas power station with a net output of approx. 80 MW is a conventional conversion plant consisting of a boiler system, steam turbine and generator. It exclusively serves the purpose required by law of utilizing the blast furnace gas. The investment makes it possible to meet the demand for electricity at the Dillingen location.

"The building of the power station is a purely environmental investment which will noticeably reduce the burden on the environment at the Dillingen site since, in future, the excess gas from the blast furnace will be used for energy purposes. We are thus in compliance with the new regulations of TA-Luft (German technical guidelines for air) which strive to achieve a high degree of protection for the general public and the neighbourhood from harmful environmental effects", Dr. Norbert Bannenberg (Technical Director at Dillinger Hütte) affirmed.

At the same time, the new, modern, system technology results in considerable improvements in noise emission from Rogesa. "In realising the planned power station, the best system technology which is currently available will be used so that optimum environmental protection and maximum utilization of energy is assured" adds Hans-Günter Herfurth, Chairman of the Board at Saarstahl AG.

Price increase for wire rod

Within the framework of quarterly settlements for drawn qualities and free cutting steels, Saarstahl AG are increasing their prices by approx. 5 % as from 01.04.2003.

This decision is based on the increased cost of procurement (coal, iron ore, scrap, alloys etc.), the increased costs for energy, transport and processing and on the fact that international demand remains brisk.
