Change in the Management Board at Saarstahl AG

In a meeting of the Supervisory Board of Saarstahl AG on 12.12.2007, Dr. Peter Schäfer (46) was appointed as a Member of the Board for the Sales Division as of 01.01.2008.

Dr. Schäfer has been with Saarstahl AG since 01.01.2007 where, in his role as a general agent, he has been responsible for the coordination of further processing of wire rod and for Sales.

Before joining Saarstahl AG, Dr. Schäfer held various executive posts in Sales at Salzgitter AG in the export of steel strips and hot wide strips as well as flat steel for the automotive industry. Most recently, he held the position of Managing Director of Salzgitter Bauelemente GmbH.

The extended Management Board of Saarstahl AG as of 01.01.2008 is made up of Claude Kintz, Chairman of the Board (Finance), Dr. Karlheinz Blessing (Human Resources and Labour), Dr. Klaus Harste (Engineering and Technology) and Dr. Peter Schäfer (Sales).

Saarstahl subsidiary DWK Drahtwerk Köln GmbH supplies the stay cables for Germany's largest bridge construction project to the island of Rügen


Saarstahl wire plays a significant role in the creation of the new gateway to Rügen

On 20th October 2007, the German Chancellor, Angela Merkel, will officially open the largest and most impressive bridge construction project in Germany. The company DWK Drahtwerk Köln GmbH (DWK), a wholly owned subsidiary of Saarstahl AG based in Köln, delivered the stay cables for the project.

The new Rügen bridge is, in fact, the second crossing of the Strelasund. A total of 71,000 cubic metres of concrete and more than 22,000 tons of steel were used in its construction. The heart of the 4,100 m long Strelasund crossing between the Stralsund ring road and junction at Altefähr is a 2,831 m long stretch of bridge. The structure which runs parallel to the existing Rügen dam is made up of six individual structures, the Stralsund foreland bridges, the bridge over the Ziegelgraben strait, the foreland bridges of Dänholm and Strelasund and the Strelasund bridge.

The challenge for engineering technology was the 583 m long cable-stayed bridge to span the Ziegelgraben without supports allowing ships to pass through openings 198 m and 126 m wide, respectively, and with a vertical clearance of 42 m. With its distinctive 128 m high pylon, this structure is the architectural highlight of the bridge which, as the new gateway to the island of Rügen, has become a landmark of the Hanseatic town of Stralsund.

The prestressing steel strands required for the cable-stayed bridge were manufactured and delivered by DWK. The prestressing steel strands were then bundled to form a stay cable and anchored. The primary material which set high quality demands, was manufactured in the BOF steel plant of Saarstahl AG in Völklingen and rolled to wire in the Saarstahl plant in Saarbrücken Burbach.

The process for the manufacture of stay cables from prestressing steel strands was already a subject of great interest during the production stages since it was the first time that this technology had been applied in Germany.

The total delivery of prestressing steel strands amounted to 160 tons. Delivery took place over a period from January 2006 to March 2006. The required tensioning work was completed in June 2006.

Due to the rapid increase in global energy consumption, there is a growing need to extend capacity and modernise out-dated equipment to allow more environmentally friendly, resource-efficient and economic operation.

For the Saarstahl subsidiary DWK, the most impressive bridge construction project in Germany to date is followed by another similar project: the bridge over the Rhine at Wesel.
DWK will supply around 1,300 tons of prestressing steel strands in a wide range of types and 100 tons of prestressing steel wire. The first four stay cables were already installed in September 2007. Completion of all the stay cables is planned for the end of 2008.

Further large bridge construction projects that have been implemented using wire and steel strands from Saarstahl and DWK are, for example, Yang Pu (Shanghai/China), Humen Bridge (Guandong/China), Raippaluoto Bridge (Vaasa/Finland), Val Benoit (Liege/Belgium), Bridge at Dubrovnik (Croatia).

Strategic decision in securing the Saarstahl location in Völklingen

In a meeting, which took place on 27.09.2007, the Supervisory Board of Saarstahl AG oversaw the strategy of the Management Board regarding the subsidiary Saarschmiede and the Saarstahl Nauweiler rolling mill at the Völklingen location. The investments planned within the concept are part of the continued modernisation process of the production facilities of Saarstahl AG in order to secure the competitive position of the company and its subsidiaries as well as strengthening the steelmaking location on the Saar.

After successful completion of investments in the rolling mill in Völklingen within the last three years which included investments in the walking beam furnace, precision rolling stands, induction quenching and tempering line and in-line finishing, it is now planned to reorganise the steel bar finishing line. At the same time, further processing capacity is to be increased and the steel bar manufacturing centre of Saarstahl AG is to be expanded.

The decision to invest is due to the increased quality demands of our customers, in particular in the automotive sector, as well as on plans to increase output.


Expansion of the subsidiary Saarschmiede

Due to the rapid increase in global energy consumption, there is a growing need to extend capacity and modernise out-dated equipment to allow more environmentally friendly, resource-efficient and economic operation.

Even today, Saarschmiede is one of the international leaders in the manufacture of components for power plants (e. g. turbine and generator shafts). In both research and production, Saarschmiede's facilities are at the leading edge of global technology. It is planned to further extend this head start by developing forgings for turbines to withstand the highest temperatures and pressures in order to increase resource efficiency for our customers.

Saarschmiede's product range and capacity within the energy engineering and mechanical engineering sectors are to be extended to include components with ingot weights of up to 200 tons. Along with today's products, through future material innovations, in particular, Saarschmiede intends to allow increased efficiency in power stations and thus to make a significant contribution to optimising the use of resources and lowering emissions of greenhouse gases worldwide.


High-tech facilities, product innovations and qualified employees

Dr. Klaus Harste, Member of the Management Board of Saarstahl AG commented, "These investments which are directed towards our customer's future requirements will allow further optimisation of our production facilities and processes. Saarschmiede delivers turbine shaft to blast furnace gas power plant in Dillingen

With its innovative materials technology, the Völklingen-based Saarstahl subsidiary Saarschmiede GmbH Freiformschmiede is making a significant contribution to a path-breaking project

The wholly-owned Saarstahl subsidiary Saarschmiede GmbH Freiformschmiede in Völklingen, Germany, has manufactured the turbine shaft for the innovative blast furnace gas power plant to be constructed at the Dillingen location and has delivered it for subsequent processing. The power plant project which was agreed as part of a cooperative partner¬ship between Saarstahl, Dillinger Hütte, STEAG Saar Energie and VSE will enable path-breaking innovation. Construction work on the blast furnace gas power plant commenced on 27.06.2007.

The state-of the-art, highly efficient blast furnace gas power plant will supply energy to the companies Dillinger Hütte, Rogesa and Zentralkokerei Saar (ZKS) which are located in Dillingen. Rogesa and ZKS are joint subsidiaries of Saarstahl AG and AG der Dillinger Hüttenwerke, each holding a 50% stake. The use of the best systems engineering currently available ensures that the power plant offers the optimum in environmental protection and maximum energy utilization.

The shaft produced by Saarschmiede is a medium and low-pressure turbine shaft which requires different properties along its length in order to suit the operating conditions in the individual parts. The particular combination of properties is achieved by using a special steel developed at Saarstahl in the nineteen nineties. This steel is now one of the most common steels used in the manufacture of turbines. Due to special heat treatment, the medium and low pressure parts are each subjected to different conditions during annealing. As a result, the shaft attains the desired material properties.

The turbine shaft was manufactured by Saarschmiede from a forging ingot weighing 105 t which was manufactured in the forge’s own electric steel plant. The shaft had a forging weight of 69.5 t. The delivery weight is 33.6 t. In delivery condition, the shaft has a maximum diameter of 1495 mm and a total length of 7560 mm. All heat treatment processes, the complete processing and all the desired tests were successfully carried out by Saarschmiede.

Besides the manufacture of the turbine shaft, the Völklingen-based Saarschmiede is also responsible for manufacturing the so-called cap rings for the generator shaft in the first construction of a new large-scale power station in the Saarland region for 20 years. Furthermore, the Saarstahl subsidiary is currently involved in numerous large international projects. For example, turbine and generator shafts as well as components for multi-part turbine shafts are manufactured. The most important international projects currently include the Finnish atomic power station Olkiluoto which will have the largest steam turbines ever built, the new German fossil fuel-fired power stations with efficiency increases of up to 46 % (e. g. in Neurath and Datteln) as well as numerous gas turbines which, combined with steam turbines, achieve efficiency levels of up to 60%.

As the shaft was being delivered, Dr. Dieter Bokelmann, Technical Director at Saarschmiede commented, “With its innovative material development and technologically sophisticated forge products, the Völklingen-based Saarschmiede has become a recognized global leader in energy engineering, mechanical engineering and in the aviation and space industries. Bosch Supplier Award for the Saarstahl subsidiary Saar-Blankstahl GmbH


Saar-Blankstahl GmbH, Homburg, has received the worldwide award from Bosch "Supplier Award 2005/2006" in the category "Material and Components, Indirect Materials and Services/Steel".

With this award, Robert Bosch GmbH marks the special achievements of their suppliers in the years 2005 and 2006 in the manufacture and supply of products and services, in particular with regard to reliability, quality and pricing. Furthermore, this award demonstrates appreciation of communication and cooperation as well as the readiness to implement continuous improvements.

The award is presented every two years. The award winners were honoured in a ceremony which took place in the State Gallery, Stuttgart, on 04.07.2007.

The award winning Saar-Blankstahl GmbH is a wholly owned subsidiary of Saarstahl AG with its headquarters and a manufacturing site located in Homburg, Saarland, Germany and a further manufacturing location in Burbach/Siegen, Germany. The company has a total workforce of 190 employees.

Saar-Blankstahl GmbH produces steel bars in the most demanding field of quality and execution. Each stage of manufacture is tailored to suit the customer's requirements and these include, for example, drawing, peeling and grinding of the feedstock used as well as heat treatment using inert gas and production of ready-to-use cut-to-length pieces. The range of production covers dimensions of 4 mm to 125 mm, hexagonal bar steel of 6 mm to 65 mm and square bar steel of 14 to 60 mm. As a result of large investments over the last few years, the company has state-of-the art machinery at its disposal and, with its highly qualified and motivated employees, the company is recognized as the leader in its field.

The feedstock used comes exclusively from the parent company Saarstahl AG which, for its part, has already achieved the Bosch Supplier Award on two occasions, most recently in July 2005.

With its products to meet the highest quality demands, Saar-Blankstahl GmbH mainly supplies the automotive industry. The range of material covers free-cutting steels, quality steels, case-hardening steels, quenched and tempered steels, unalloyed/alloyed constructional steels, bearing steels and spring steels as well as magnetically soft materials and high-temperature materials. The annual production amounts to approx 130,000 t (2006).

"With its recognized high-quality products, our company has achieved an important market position in the automotive supplier branch. Our quality and service are appreciated internationally", emphasized Rolf-Dieter Bartel, Head of Sales at Saar-Blankstahl GmbH during the award ceremony. Annual General Meeting on 12.07.2007:

Continued positive development in the Saarstahl group's result for the business year 2006

High demand and increased production in 2006

At the annual general meeting on 12.07.2007, Claude Kintz, Chairman of the Board at Saarstahl AG declared that "In 2006, as in the previous year, the economic development of Saarstahl AG and its subsidiaries was positive. The consistently large number of orders received meant that there was a high level of capacity utilization of the production equipment throughout the year. The business year was characterized by good revenues. One of the decisive factors here was the continuation of Saarstahl's business policy of ensuring and improving product quality as well as customer-orientation and price development. Then again, there were also further price increases in 2006".

In 2006, the Saarstahl group was able to further consolidate and increase its market share in national and international markets in the company's foremost products such as tyre cord, free-cutting steels, cold heading grades, pre-stressed steel and steel bars for the automotive industry.

Production of crude steel increased in 2006 compared with 2.406 mill. t in 2005 by 8.5 % to stand at 2.610 mill. t. Sales revenues increased by 7.2 % from 1,697 mill. EUR in 2005 to 1,819 mill. EUR in 2006. At the same time, material costs increased in 2006 by 61 mill. EUR (5.8 %) to 1,118 mill. EUR (2005: 1,057 mill. EUR).

The business result for the group in 2006 before interest and taxes (EBIT) amounts to 306 mill. EUR and is 72 mill. EUR lower than in 2005 (378 mill. EUR). This change compared to 2005 is largely due to one-off effects regarding reserves. The EBITDA (EBIT before depreciation and amortisation) changed from 411 mill. EUR in 2005 by 69 mill. EUR to 342 mill. EUR in 2006.

As a consequence of the takeover of the French subsidiary Conflandey Industries S.A.S, the number of employees in the group rose from 6,256 to 6,584 in 2006. The number of apprentices and practical trainees also increased from 318 to 328. With its qualified and future-orientated vocational training, the Saarstahl group is one of the main providers of in-company vocational training in the Saarland.

According to Mr Kintz, "The continuation of the good development of the result in 2006, too, can be accounted for, in particular by the high level of commitment, competence and flexibility of the employees in all areas of the company."

Positive outlook for the business year 2007

There is a continuation of this positive development in the business year 2007. "There was a further increase in the number of orders received in the first six months compared to 2006. In view of the overall economic situation, we assume that production and shipping levels will continue to develop positively over the next few months", says Claude Kintz. "However, there will be further price increases for crude steel due to a rise in the cost of raw materials and energy."

The economic trend in the European automotive and automotive supplier industries which are the Saarstahl group's main markets, will have a decisive influence on the further course of the business year 2007. Cyclical fluctuations and the corresponding effect on profits are regularly to be expected in the steel manufacturing and processing industry. For this reason, the Saarstahl group will continue to make progress in productivity and quality in order to strengthen its competitive position. Besides continuous investment in all locations, the profitability is to be strengthened sustainably by a continuous programme towards improving the result.

Saarstahl AG and its subsidiaries are going to continue on their path of consistently orientating the production programme towards high quality grades to fulfil the highest demands and further expanding it using state-of-the art facilities and further processing equipment as well as maintaining a high level of research effort and investment.

Mr Kintz (64) has been a Member of the Board of Management since 14.03.1996 and has been Chairman of the Board of Management of Saarstahl AG since 23.03.2005. He is responsible for the business sectors Sales and Finance.

Change in the Board of Management at Saarstahl AG

In a meeting on 29.03.2007, the Supervisory Board of Saarstahl AG appointed Dr. Karlheinz Blessing (49) as a Member of the Management Board and Labour Director of Saarstahl AG with effect from 01.07.2007.

Dr. Blessing has been a Member of the Management Board and Labour Director of the AG der Dillinger Hüttenwerke and a Member of the Management Board of DHS Dillinger Hütte Saarstahl AG since 01.01.1994. He will continue to work in these functions.

The Supervisory Boards of the AG der Dillinger Hüttenwerke and DHS Dillinger Hütte Saarstahl AG also agreed to the appointment as Labour Director of Saarstahl AG in their respective meetings on 29.03.2007.

Investment amounting to 40 million euros in the wire rod centre at Saarstahl’s Neunkirchen location

In a meeting on 29.03.2007, the Supervisory Board of Saarstahl AG took the decision to invest 40 million euros in the Saarstahl location in Neunkirchen.

The investment will be carried out in a service centre for the surface and heat treatment of wire rod. At the same time, part of the further processing area is to be brought up to the latest technical standards. Further processing will be concentrated in Neunkirchen and extended to allow for planned increases in capacity. The decision in favour of the Neunkirchen location should allow further optimisation of the logistic processes between the Saarstahl locations in the Saarland.

As Claude Kintz, Chairman of the Board emphasizes, “Saarstahl has earned a good reputation as the most important supplier in the automotive sector in the business fields of cold heading wire rod and bearing steel. Our quality and service receive international recognition. We want not only to maintain this competence but also to extend it further and to increase the sales volume over the next few years. This investment should enable us to meet the constant increase in customer demands with even more flexibility.”

“In setting up a service centre for wire rod, we intend to make a sustainable contribution to strengthening the further processing of our rolled products. Furthermore, with our investments, we are continuing to make every effort in optimising our production sites and process flows. With the implementation of the agreed measure, we will also be strengthening the employment situation in the long term”, said Dr. Klaus Harste, Member of the Management Board at Saarstahl AG.

Statement regarding the press release by the Hindu Business Line of 07.03.2007

With regard to the press release by the Indian newspaper "Hindu Business Line" of 07.03.2007 entitled "Mittals in talks to buy German co", Saarstahl AG would like to clarify the situation as follows:

The remarks made during a trip to India by Mr Joachim Kiefaber, Department Head at the Ministry of Economics and Labour of the Saarland, to the effect that Saarstahl and Arcelor Mittal are currently conducting talks regarding co-operation or a take-over are a product of his imagination. Saarstahl AG is more than surprised about such comments, particularly since the Saarland is not a shareholder in the company.

Saarstahl AG is an independent company, specialising in the production of high-quality wire rod and bars and which acts autonomously on the market. Saarstahl AG will continue to consistently follow its strategy as a company not bound to a group.
