Acquisition
of Sodetal S.A.S., France
and Sodetal s.r.o., Slovakia
The
Saarstahl group has aquired
the companies Redaelli Sodetal
S.A.S., located in Tronville,
France, and Redaelli Sodetal
s.r.o., based in Kosice,
Slovakia, both of which
are in the field of further
processing. The purchase
contracts for the two companies
have been signed. The takeover
of the companies by the
Saarstahl group is subject
to agreement by the relevant
competition commissions.
The companies Sodetal
S.A.S, France, and Sodetal
s.r.o., Kosice, specialise
in the production of steel
cord. They manufacture drawn,
laced and stranded tyre
cord. This acquisition will
allow the Saarstahl group
to expand its product range
in the tyre cord sector.
In 2007, the two companies
produced around 27,000 tons
of steel cord.
The annual turnover of
the two companies amounted
to approximately 60 million
euros in 2007.

Joint Press Release from 13.05.2008 by the insolvency administrator of PHB Stahlguss GmbH i.I. and the company taking over the operations, Stahlguss Saar GmbH
The insolvency administrator Michael J. W. Blank, Völklingen, has sold the company PHB Stahlguss GmbH, St. Ingbert/Saar, which has been in liquidation since November 2003, to the company Stahlguss Saar GmbH, a subsidiary of Saarstahl AG. The committee of creditors and the participants at the creditors’ meeting approved the transfer of the company on 07.05.2008 after the various committees and advisory boards at Saarstahl AG had already agreed to the purchase. The Monopolies and Mergers Commission did not raise any objections. Transfer of the company will take place on 01.06.2008.
The company PHB Stahlguss GmbH was forced to file for insolvency at the district court in Saarbrücken on 05.11.2003 as a result of a slump in sales. The insolvency administrator has continued business operations without interruption until today. The company employs a workforce of 80. Due to extensive restructuring measures by the insolvency administrator, PHB Stahlguss GmbH i.I. is now firmly re-established on the market and, with its core business, is one of the leading companies in Europe.
Stahlguss Saar GmbH will take over the operations on 01.06.2008 and, in the coming years, restructuring and maintenance measures as well as investments running into the two-figure millions are planned.
Stahlguss Saar GmbH specialises in the manufacture and distribution of components made of cast steel, in particular for power engineering (such as turbine blade supports and valve housings for power stations). The company’s product range therefore enhances the range of products offered by Saarschmiede GmbH Freiformschmiede in the field of manufacturing high performance turbines and components for power station construction.

New Building Saarstahl-Schmiede (FORGE Saar):
Saarstahl places orders amounting to over 100 million euros with companies located in the Saar region
Construction of the new building FORGE Saar of Saarstahl AG is already in full swing. To date, orders amounting to more than 100 million euros have been placed with Saar-based companies.
A prominent position is held, above all, by the newly placed order for the construction of the new forge halls which has been awarded to Dillinger DSD Montagetechnik and to a syndicate of roofing companies in the Saarland. All other contracts for work in the fields of pipeline construction, foundations, civil engineering, steel structures and the electrical power supply have also been awarded within the boundaries of the Saarland.
Dr Klaus Harste (Engineering and Technology) from Saarstahl AG stated, “The decisive reason for placing all of these contracts is primarily the performance and competitiveness of the contractors in the Saarland”. ”Saarland-based companies have already passed the 100 million euro marker for FORGE Saar“, said Martin Baues, the manager responsible for the construction of new buildings at Saarstahl AG”. “And we still have many contracts to award“ Mr Baues added.
At the end of September 2007, the Supervisory Board took the decision to carry out extensive expansion of the subsidiary Saarschmiede GmbH Freiformschmiede which is viewed as the leading manufacturer worldwide of, primarily, turbines and generators for power stations, components for the rocket Ariane and rotors for wind power.
The decision for the new forge, one of the largest investments by Saarstahl AG, was prompted by the rapid increase in global energy requirements and the corresponding rise in demand for turbines with the latest “climate protection” technology which only a few forges in the world are capable of mastering.
Martin Baues explained ”Everything is running according to plan on the construction site. It is most likely that we will be able to keep within the scheduled construction period of just two and a half years.“ According to Dr Harste, in mid-2010, ”the most modern open-die forge in the world will start production”.
With the new forge (FORGE Saar), Saarstahl AG is investing a total of more than half a billion euros and will create between 350 and 400 new jobs.
